Terms of Sale — Folio Press

1. Who we are

These Terms of Sale (the “Terms”) govern your purchase of digital products from Folio Press, the trading name of Folio Press (Pty) Ltd (registration 2026/386865/07), a private company incorporated in the Republic of South Africa. In accordance with section 43 of ECTA, our supplier details are:

By placing an order you confirm that you have read, understood, and agree to be bound by these Terms, together with our Privacy Notice and Refund Policy.

2. Definitions

“We”, “us”, “our” — Folio Press (Pty) Ltd, trading as Folio Press.
“You” — the person placing an order or using the site.
“Products” — the digital reference works and bundles offered for sale on the site.
“Order” — your request to purchase one or more Products through the site.
“Download link” — the personalised, time-limited link by which a purchased Product is delivered.

3. The order process and formation of contract

You add Products to your cart and proceed to checkout, where you confirm your details and accept these Terms. When you submit your Order you are directed to our payment partner, PayFast, to make payment. A binding contract of sale is formed only once payment is successfully confirmed and we make the Download link available to you. We may decline or cancel an Order — for example where a Product is unavailable, where a pricing error has occurred, or where payment cannot be verified — in which case any amount paid for the affected item is refunded.

4. Pricing and payment

All prices are displayed in South African Rand (ZAR) and are the final amount payable. Folio Press (Pty) Ltd is not registered for VAT (turnover is below the compulsory registration threshold under the Value-Added Tax Act 89 of 1991), so no VAT is charged and no VAT line appears on receipts. Payment is processed securely by PayFast; we do not receive, process, or store your card or banking details. You warrant that you are authorised to use the payment method you provide.

5. Licence to use

On full payment you receive a personal, non-exclusive, non-transferable, revocable licence to access and use the purchased Product for your own professional reference. Each file is watermarked with your details and your order reference. You may not:

redistribute, resell, sublicense, lend, rent, or publicly share the files or any part of them;
remove or alter any watermark, notice, or identifier embedded in a file;
upload the files to any shared drive, repository, or service that makes them available to others; or
use the Products to create a competing or derivative work for distribution.

6. Delivery and downloads

Products are delivered digitally. Once payment is confirmed, your personalised Download link is shown on the order confirmation page and sent to the email address on your Order. For each item purchased, the Download link remains valid for 30 days from the date of purchase and permits up to two (2) downloads. It is your responsibility to download and save your files within that period and to provide a correct email address. If a link expires, you reach the download limit, or you experience a technical issue, contact info@foliopress.co.za and we will assist, including by reissuing a link where appropriate.

7. Acceptable use and enforcement

The licence in clause 5 is a condition of sale. Unauthorised copying, distribution, or sharing of the Products is a breach of these Terms and an infringement of copyright. We reserve the right to suspend or revoke access, to refuse future sales, and to pursue any remedy available in law — including a claim for damages and interdictory relief — where we reasonably believe the Products are being used in breach of these Terms.

8. Cooling-off and digital content

The Products are digital content delivered immediately on confirmation of payment. Under section 44(1) of ECTA, the seven-day cooling-off right for electronic transactions does not apply to digital content once you have begun downloading or accessing it. At checkout you expressly consent to immediate delivery and acknowledge that, by downloading or accessing a Product, you lose any cooling-off right that might otherwise apply. This does not affect your rights where a Product is faulty or not as described — see our Refund Policy.

9. Failed payments and chargebacks

Where a payment is reversed, charged back, or otherwise fails after a Download link has been issued, the licence granted in clause 5 terminates immediately and we may revoke access to the affected Products. If you believe a charge is incorrect, please contact us at info@foliopress.co.za before initiating a chargeback so that we can resolve the matter directly.

10. Intellectual property

All content in the Products and on this site remains the intellectual property of Folio Press (Pty) Ltd and Itumeleng M. Ramutla, protected under the Copyright Act 98 of 1978 and other applicable laws. Nothing in these Terms transfers ownership of any intellectual property to you; you receive only the limited licence described in clause 5.

11. Warranties and liability

The Products are professional reference works, not legal, financial, or other professional advice. While we hold citation integrity as a standard, you remain responsible for verifying the applicability of any content to your circumstances. Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited, including under the CPA. Subject to that, and to the extent permitted by law, our total liability arising from or in connection with a Product is limited to the amount you paid for that Product, and we are not liable for indirect or consequential loss.

12. Force majeure

We are not liable for any failure or delay in performing our obligations where that failure or delay results from events beyond our reasonable control, including power or network failures, acts of government, or failures of third-party providers such as our payment or email partners.

13. Changes to these Terms

We may update these Terms from time to time. The version in force at the time of your Order governs that purchase, and the “last updated” date above reflects the current version. Material changes apply only to Orders placed after they take effect.

14. Complaints and dispute resolution

If you have a complaint, please contact us first at info@foliopress.co.za and we will try to resolve it promptly. Nothing in this clause limits your right to approach the National Consumer Commission, the Consumer Goods and Services Ombud, or a court of competent jurisdiction.

15. Capacity to contract

By placing an Order you confirm that you are at least 18 years old (or otherwise have legal capacity to contract) and that the information you provide is accurate and complete.

16. General

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force. Our failure to enforce a provision is not a waiver of it. These Terms, together with our Privacy Notice and Refund Policy, constitute the entire agreement between you and us regarding your purchase. You may not assign your rights under these Terms without our consent; we may assign ours to a successor in the business.

17. Governing law

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa, and you submit to the jurisdiction of the South African courts.
